Indus Infra Trust Announces Q1 FY27 Results, Reporting Substantial Asset Acquisitions and Capital Infusion​

Indus Infra Trust delivered its Unaudited Standalone and Consolidated Financial Results for the Quarter ended June 30, 2026. The results detailed a period of significant portfolio expansion through new acquisitions and successful capital raises, while maintaining consistent operational performance within the infrastructure sector.

The macroeconomic environment in Indian road infrastructure was noted as structurally robust, driven by strong policy tailwinds. For the full financial year FY26, national highway construction reached almost 5,313 kilometers, surpassing the annual target of 4,640 kilometers by nearly 15%. Regarding the flagship Bharatmala Pariyojana Phase-I, 22,590 kilometers have been constructed out of the awarded pipeline of 26,425 kilometers.

Portfolio Expansion and Capital Raising Activities​

Q1 FY27 proved to be a transformative quarter for capital allocation and portfolio expansion. The Trust successfully completed the acquisition of KNR Palani Infra Private Limited and KNR Ramagiri Infra Private Limited from KNR Constructions during June. Additionally, on June 30, 2026, the acquisition of ULCCS Kasaragod Expressway Private Limited was finalized.

To fund these strategic growth initiatives, the Trust executed a major capital raise in 2026. On June 16th, the fundraise committee approved the allotment of 14.28 crore units through a QIP placement, raising almost INR1,700 crores. Concurrently, a pre-allotment of 2.52 crore units to sponsor Aadharshila Infratech Private Limited aggregated INR300 crores. Both equity issuances were conducted at an issue price of INR119 per unit, with trading in the newly allotted units commencing on June 18, '26.

To bridge transaction execution effectively, the Trust also raised INR250 crores through unsecured listed commercial paper on May 25, 2026, offered at a competitive discount rate of 6.90%.

Financial Performance Snapshot​

Stand-alone Results (Q1 FY27):
Interest income from loans extended by the Trust to SPVs rose to INR243.5 crores from INR195.03 crores in Q4 FY26. This increase was attributed to additional debt taken by 3 SPVs acquired in March 2026, partially offset by a debt repayment of "around" INR470 crores made by existing SPVs during the quarter.

The EBITDA for the stand-alone quarter stood at INR203.70 crores, which included an impairment amounting to INR38.95 crores due to differences in the fair value and book value of investments.

Consolidated Results (Q1 FY27):
Total income on a consolidated basis reached INR301.66 crores, comprising revenue from operations of INR284.77 crores and other income of approximately INR17 crores. Revenue from operations included finance income totaling INR220.78 crores, up from INR156.35 crores in Q4 FY26, boosted by the new assets acquired during the quarter and in late March.

Revenue from contracts, which covers CUS, O&M, utility, and claims for the quarter, stood at INR50.44 crores, compared to INR31.59 crores in the previous quarter. The total expense for the quarter was reported at INR162.31 crores, up from INR105 crores in the last quarter.

Dividend and Cash Flow Details​

The Board approved a distribution of INR3.55 per unit for Q1 FY27. This amount is composed of INR2.38 as interest and INR1.17 as capital repayment. This payment is scheduled to be made on or before August 17, 2026, to unitholders with the record date set as August 10, 2026. The cumulative distributions stood at INR31.25 per unit, including the distribution approved in the Board meeting held on August 5, 2026.

Regarding distributable cash flow (NDCF), SPV level NDCF worked out to INR359.29 crores. After adjustments for finance cost and trust-level expenses, the NDCF for the quarter was calculated at INR225.77 crores, with a proposed distribution of INR216.91 crores, leading to the reported INR3.55 per unit.

During the quarter, 3 SPVs were acquired at an enterprise value of INR1,912 crores. The trust utilized nearly INR2,000 crores in additional borrowing to refinance existing debt across projects including Bilaspur Urga and Ujjain Badnawar (INR916 crores) and KNR Palani, KNR Ramagiri, and ULCCS Kasaragod Expressway (balance amount).

During the conference call, management confirmed that all six assets currently held in the portfolio operate under fixed-price contracts. The company also noted that its net debt to AUM stands at 34%, while gross debt is in the range of 43%–44%.

INDUSINVIT Stock Price Movement​

Shares of Indus Infra Trust shed 1.59% in post-market trading today, settling at ₹134.99 after operating from a low of ₹134.5. The decline occurred against a backdrop where the stock demonstrated significant strength during intraday trade and was approaching its 52-week peak levels.
