Quality Power Electrical Equipments Limited has executed a term sheet to acquire 100% of the equity share capital of Winwin Speciality Insulators Limited (WSIL). The strategic acquisition aims to significantly expand Quality Power's high-voltage product portfolio, strengthening its position in critical energy infrastructure projects across India and globally.

The transaction, which is subject to customary due diligence, statutory and regulatory approvals, is expected to be completed within three months. The enterprise value for the proposed acquisition stands at approximately INR 315 Crores.

Strategic Manufacturing Platform Details​

WSIL operates a fully automated insulator manufacturing facility located in the Atchutapuram Special Economic Zone (SEZ) near Visakhapatnam, Andhra Pradesh. This location offers significant logistical and fiscal advantages, including proximity to the Visakhapatnam Port and Gangavaram Port.

The acquisition transfers capabilities for manufacturing both ceramic and polymeric insulators:
  • Ceramic Insulators: The facility can manufacture up to 1200 kV ceramics with an installed capacity of approximately 18,000 Metric Tonnes Per Annum (MTPA).
  • Polymeric Insulators: WSIL manufactures polymeric insulators up to 400kV, compliant with IEC, ANSI, and IS standards.

The facility is a state-of-the-art operation, having been modernized with European-origin process technology. It is situated on a 47.7-acre industrial land parcel, providing ample capacity for future phased expansion.

A Heritage Brand in High-Voltage Insulation​

WSIL carries forward the established legacy of the WS Insulators brand, which was incorporated in 1961. Over six decades, the brand has cultivated an extensive product heritage spanning suspension, solid core, hollow, pin, and disc insulators. The plant's existing customer approvals and type test records provide Quality Power direct access to a qualification footprint accumulated over more than sixty years.

Mr. Bharanidharan Pandyan, Joint Managing Director at Quality Power Electrical Equipments Limited, commented on the acquisition, stating that WSIL brings together a high-voltage insulator manufacturing platform, the brand's legacy since 1961, and crucial global product qualifications within a strategic port-linked corridor. He added that as global investment in grid expansion and HVDC infrastructure accelerates, insulators are set to become an important growth area for the company.

The acquisition is intended to deepen Quality Power’s wallet share with existing clients, expand its addressable market, and reinforce its role as an integrated supplier of critical high-voltage equipment to utilities, OEMs, and EPC customers globally.
