Board approval has paved the way for SML Mahindra Limited to acquire the entire Truck and Bus Division (MTBD) of Mahindra & Mahindra Limited (M&M). The transaction, set as a strategic step toward creating a unified commercial vehicle powerhouse within the Mahindra group, involves purchasing MTBD as a going concern on a slump sale basis.

The acquisition was approved by the Board of Directors of SML Mahindra Limited in a meeting held on July 29, 2026. The deal is being executed under a Business Transfer Agreement (BTA). For a consideration of Rs. 525 crore, SML will take over the MTBD Business Undertaking, which includes all associated employees, assets, intellectual property, licenses, permits, insurance policies, contracts, interests, rights, and liabilities.

The acquisition allows SML to consolidate its operations with M&M's portfolio, creating a comprehensive commercial vehicle presence across light, intermediate, and heavy vehicles for both cargo and passenger transport. This move is designed to benefit from enhanced scale, market coverage, and improved operational efficiencies.

Details of the MTBD Business Undertaking​

The acquired division operates within the mobility products segment, offering solutions ranging from SUVs and pick-ups to commercial trucks and buses. The target entity's performance data for the Financial Year 2025-26 was as follows:

The transaction involves a cash consideration for the MTBD Business Undertaking and is subject to working capital adjustments as detailed in the BTA. The acquisition was derived based on a valuation report obtained by BDO Valuation Advisory LLP. SML Mahindra Limited, which holds a market-leading position in the Intermediate and Light Commercial Vehicles (ILCV) segment, benefits from this strategic purchase.

Strategic Outlook and Timeline​

The move represents a significant alignment within the Mahindra Group, streamlining its commercial vehicle operations into a single focused entity dedicated to leadership in the Truck and Bus sector.

Mr. Vinod Sahay, Executive Chairman of SML, stated that the acquisition is a transformative step toward creating a stronger business with greater scale and a more comprehensive product portfolio. He added that the combination leverages the complementary strengths of both organizations.

Regarding operational continuity, the transaction includes an agreement stating that manufacturing of Mahindra branded trucks and buses will continue to be undertaken by M&M under a contract manufacturing arrangement, ensuring stability in the supply chain.

The acquisition is set for completion on or before January 31, 2027, or such later date as mutually agreed upon by both companies, pending shareholder approval.
