The Board of Directors of SML Mahindra Limited (SML) has approved the acquisition of the Truck and Bus Division (MTBD) from Mahindra & Mahindra Limited (M&M). The transaction, executed as a slump sale, aims to unify M&M Group's commercial vehicle operations under a single focused entity, creating a comprehensive presence across light, intermediate, and heavy trucks, as well as buses.

The acquisition marks a significant strategic step for the Mahindra Group towards establishing market leadership in the truck and bus segment. The transfer involves MTBD’s employees, assets, intellectual property, licenses, permits, insurance policies, contracts, interests, rights, and liabilities. SML Mahindra Limited is set to receive Rs 525 crore for the slump sale of the division, subject to working capital adjustments outlined in the Business Transfer Agreement (BTA).

The move is expected to create a simplified operating model with enhanced scale, sharper market focus, and improved competitiveness across the commercial vehicle segment. SML Mahindra Limited, which holds a leading position in the Intermediate and Light Commercial Vehicles (ILCV) Buses segment, has been acquired by M&M following a previous investment transaction involving Sumitomo Corporation and Isuzu Motors Limited.

Dr Anish Shah, Group CEO and MD of Mahindra Group, stated that the transaction simplifies the commercial vehicle business structure by consolidating truck and bus operations under SML Mahindra, thereby creating a dedicated single entity for growth and leadership in the sector. Mr Rajesh Jejurikar, Executive Director and CEO of Auto and Farm Sector at M&M, added that combining strengths is intended to drive meaningful synergies across technology and customer-facing domains while enhancing both brands’ market reach and offerings.

Transaction and Financial Details​

The sale details reflect the operational scale and financial standing of the division prior to the transfer. The MTBD Business Undertaking generated a total income of Rs 2,989 crore during the financial year ended March 31, 2026.
