Piramal Pharma Limited has significantly increased its stake in Yapan Bio Private Limited, transforming the company from an associate entity into a wholly owned subsidiary. The acquisition solidifies Piramal's position by integrating advanced large molecule capabilities into its integrated service offering, positioning it for enhanced efficiency in complex biologic therapies.The acquisition involved purchasing 1,46,400 equity shares of Yapan, with each share valued at ₹ 10. This transaction resulted in an aggregate cash consideration of approximately ₹ 76 crores. Following the completion of the deal, Piramal Pharma's shareholding in Yapan rose from 33.33% to 74.00%.
The structural shift means that Yapan has ceased operating as an associate company and is now a subsidiary of Piramal Pharma Limited. The promoter group of Piramal is therefore indirectly interested in Yapan through the parent company's investment.
Yapan, which was incorporated on October 11, 2019, operates as a Contract Development and Manufacturing Organization (CDMO). Its core expertise lies in process development, characterization, and providing Phase I/II GMP manufacturing services for vaccines and biologics.
The acquisition is set to embed Yapan's advanced large molecule capabilities fully within Piramal Pharma's service structure, allowing the company to develop and scale complex biologic therapies more efficiently.
