Resilient Asset has offered up to 31.9 million shares of Paytm equity for sale, representing almost 5% of the company’s total share capital. Goldman Sachs (India) Securities Private Limited is serving as the designated placement agent for this large-scale sale.

The transaction has two components. The base deal involves a minimum offer of up to 19.2 million shares, valued at about Rs 2,949 crore. This represents roughly 3% of Paytm’s existing equity. An upsize option allows the seller to add another 12.7 million shares, potentially bringing in an additional Rs 1,946 crore.

Pricing and Transaction Structure​

The floor price for the shares has been set at Rs 1,535.10 per share. This pricing reflects a discount of approximately 2.9% compared to Paytm’s closing price of Rs 1,580.20 on the NSE recorded on August 17, 2026.

Crucially, this transaction is 100% secondary. This means that all proceeds generated from the sale will be allocated directly to the selling shareholder, Resilient Asset, and not to Paytm itself. The shares will be traded through one or more sales on stock exchanges where Paytm is listed, specifically the NSE and BSE.

Market Implications and Investor Sentiment​

Block deals are closely monitored by institutional investors as they can influence near-term stock movements, particularly when the offering size is large. The potential sale of nearly 5% equity could potentially weigh on the stock during early trading sessions.

However, the moderate 2.9% discount offered at the floor price may mitigate significant negative price impact if there is strong demand generated from institutional investors who participate in the placement.
