NTPC Board Approves Issuance of Up To Rs 12,000 Crore in Non-Convertible Debentures​

NTPC Limited announced that its Board of Directors has approved a major fundraising initiative through the issuance of non-convertible debentures (NCDs). The approval comes following a board meeting held on Friday, July 24, 2026.

The company's Board has authorized the issue of secured or unsecured, redeemable, taxable or tax-free, cumulative or noncumulative non-convertible debentures up to Rs 12,000 Crore. This significant financial move is intended to raise capital through debt instruments.

According to the board’s resolution, the NCD issuance will be executed in one or more tranches that do not exceed twelve series. The funding will be raised via private placement in the domestic market.

The company has established a specific timeframe for the completion of this fundraising effort. The period for issuing these debentures begins from the date of passing the special resolution and must be completed within one year, or by the date of the next Annual General Meeting in the financial year 2027-28, whichever occurs earlier.

While the maximum size and issuance mechanism have been approved by the board, specific details regarding the terms of the NCDs will be finalized at the time of each tranche's issue. This includes the coupon or interest rate, security provisions (if applicable), tenor, and listing details on exchanges.

NTPC Stock Price Movement​

Shares of NTPC Limited shed 0.26% in trading today, settling at ₹347.2 after closing lower from previous levels. The stock saw a volume of approximately 6.3 million shares traded during the session.
