Corporate Appointments and Meeting Details
The Board of Directors approved the appointment of M/s Ramasamy Koteswara Rao and Co LLP, Chartered Accountants (ICAI Firm Registration No. 010396S/S200084), as the Statutory Auditors of the Company. This appointment is effective from the conclusion of the 52nd Annual General Meeting (AGM) in 2026 and is for a term of five consecutive years, extending until the conclusion of the 57th AGM in 2031, subject to members’ approval.Furthermore, the Board approved the convening of the Company's 52nd Annual General Meeting on Wednesday, September 23, 2026, which will be conducted via Video Conferencing or other Audio-Visual Means.
Operational and Capital Structure Updates
TANFAC Industries reported several updates regarding its ongoing projects and capital structure evolution:- New Plant: The company approved the setup of a new downstream Fluorinated product plant with a capacity of 20,000 MTA at an estimated cost of Rs. 49,500 Lakhs. This project is currently under implementation and was expected to be commissioned within twelve months.
- QIP Allotment: Following the launch of its Qualified Institutional Placement (QIP), the Fund Raising Committee allotted 12,58,918 equity shares at a price of 1,985.83 each to Qualified Institutional Buyers (QIBs). This allotment generated aggregate funds amounting to Rs. 24,999.97 Lakhs, increasing the paid-up share capital to 1,060.45 Lakhs.
- Share Subdivision: The Board had approved the sub-division of one equity share (face value Rs. 10) into two shares (face value Rs. 5), which was given effect from March 9, 2026.
- Future Fundraising: The Board also approved raising funds up to Rs. 17,349 Lakhs through a private placement, though the issue size was later reduced by the Fund Raising Committee to Rs. 9,941 Lakhs.
