IRCON Fined by Stock Exchanges Over Board Composition; New Woman Director Appointed​

Ircon International Limited, a Navratna company and a Government of India Undertaking, has been subjected to fines by the National Stock Exchange of India Limited (NSE) and BSE Limited regarding the composition of its Board and associated committees for the quarter ended June 30, 2026.

NSE and BSE levied a fine of Rs. 9,66,420/- each, including GST, due to non-compliance with requirements concerning the composition of the company's Board and its committees for the specified quarter.

The Company clarified that Ircon International Limited is a Government Company as per the provisions of Section 2(45) of the Companies Act, 2013. As per the Companies Act, 2013 and the Articles of Association, the President of India holds the power to appoint Directors, including Independent Directors and Woman Directors, on the Board of IRCON. The company noted that all directors are appointed by the Government of India through its Administrative Ministry, the Ministry of Railways (MoR), and IRCON does not have a role in the appointment of any Director unless nominated by the Government of India.

The imposition of the fine has no impact on the financial, operational, or other activities of the company. However, the amount has been identified as a contingent liability in the company’s financial statements.

Corrective Measures and Board Restructuring​

The Company has taken steps to rectify the compliance issues. Following an order from MoR dated August 13, 2026, one Woman Independent Director was appointed on the Board of IRCON, effective August 17, 2026.

Concurrently, the Audit Committee (AC) and Nomination and Remuneration Committee (NRC) of the Company were properly re-constituted as of August 17, 2026, in line with applicable provisions. The corrective actions have made the Company eligible for the waiver of fines as per SEBI's policy.
