As per MIB Uplinking Guidelines, a company can appoint directors if its number falls below three and then apply to the MIB for approval. However, even utilizing this exemption, the maximum allowed appointments were restricted such that the total Board strength would reach three members. This constraint meant that compliance with Regulation 17(1) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, which mandates a minimum of six Directors on the Board, was not met.

Trajectory of Director Appointments​

The company detailed the timeline concerning its Independent Director appointments:

  • December 12, 2024: Mr. Mayank Talwar and Mr. Gurinder Singh were appointed by the Board as Independent Directors, maintaining a board strength of three directors.
  • August 14, 2025: The Board appointed Mr. Arun Kumar Kapoor and Ms. Heena Naishadh Bhatt as Independent Directors.
  • April 17, 2026: Appointments of Mr. Arun Kumar Kapoor, Ms. Heena Naishadh Bhatt, and Mr. Ashok Anant Paranjpe were approved by the Shareholders.
  • May 13, 2026: The appointment of Mr. Ashok Anant Paranjpe became effective upon receipt of approval from the MIB.

Following these events, the Board currently comprises four directors. Dish TV India stated that its Board and Management have continuously taken steps to ensure compliance with Regulation 17(1) of the Listing Regulations regarding Director appointments.

The company concluded that neither it nor its Board possessed control over shareholder decisions or the requirement of prior approval from the MIB, asserting that the non-compliance was entirely beyond the scope of the Company, its Board, and Management’s control.
