RVNL Fined by Stock Exchanges Over Board Composition, Focuses on MoR Follow-up for Independent Director Vacancies
Rail Vikas Nigam Limited (RVNL) has faced fines imposed by stock exchanges regarding non-compliance related to the composition of its Board of Directors and its committees for the quarters ending December 31, 2025, and March 31, 2026.The company addressed this matter in a Board meeting held on July 25, 2026. The Board reviewed the non-compliance issues and noted the fines levied by the exchanges concerning the composition of the directors and subcommittees.
Addressing the situation, the Board reported that RVNL is continuously following up with the Ministry of Railways (MoR) regarding the vacancies for Independent Directors on the company's Board. This follow up includes sending multiple reminder letters to MoR requesting immediate action concerning the appointment of Independent Directors.
The board further noted that as a Government company, RVNL has no role in the appointment process of directors at the requisite level.
