Global Pet Industries Limited has approved a substantial share buyback, allotting up to 8,47,500 equity shares at a price of ₹160 per share. The decision, made by the company's Board of Directors, sets the maximum size of the transaction and outlines the mechanism through which the buyback will be executed.

The Board meeting approved the purchase of up to 8,47,500 fully paid-up equity shares with a face value of ₹10 each. The total aggregate amount for the buyback is capped at ₹13,56,00,000 (Rupees Thirteen Crore Fifty Six Lakh only), which represents up to 7.19% of the company’s total paid-up equity share capital as of March 31, 2026.

The buyback will be conducted via a proportionate Tender Offer from the equity shareholders and beneficial owners on a specified Record Date. The proposal is subject to approval by the shareholders through a special resolution using remote e-voting. Furthermore, the Board confirmed that the Buyback size calculation excludes any transaction costs related to the process.

The Board granted powers to a dedicated Buyback Committee to manage all necessary actions related to the transaction, ensuring its proper execution. The company confirmed that members of the promoter and promoter group have indicated they will not participate in the proposed buyback.

Buyback Structure and Committee Formation​

A dedicated committee was formed to oversee the entire process. Members appointed to the Buyback Committee include Mr. Bipin Nanubhai Panchal, Managing Director, Ms. Harmi Panchal, Whole time Director and Chief Financial Officer, and Ms. Bhavna Jamnashankar Joshi, Company Secretary & Compliance Officer. Ms. Joshi has also been formally appointed as the Compliance Officer for the buyback process.

The appointment of SEBI registered intermediaries was also confirmed, with Mark Corporate Advisors Private Limited serving as a SEBI Registered Merchant Banker and YES Bank Limited designated as the Escrow Banker to the Buyback Offer. SW Capital Private Limited is set to serve as the Buying Broker.
