Industrial Investment Trust Limited (OITL) announced that its Board of Directors approved a plan for buying back up to 16,66,667 equity shares. The buyback is set to be conducted via the tender offer route and has established Tuesday, August 18, 2026, as the record date for determining shareholder eligibility.

The company confirmed that the maximum size of the proposed buyback stands at INR 25,00,00,050/- (Indian Rupees Twenty-Five Crore and Fifty Only). The proposal allows for the repurchase of equity shares representing up to 7.39% of the total paid-up equity share capital.

At the time of the board meeting, the company’s management appointed Systematix Corporate Services Limited, a SEBI Registered Merchant Banker, as the Manager responsible for executing the buyback.

Operational Details and Committee Formation​

The Board approved the proposal to repurchase not exceeding 16,66,667 fully paid-up equity shares of the Company, each carrying a face value of Rs. 10/- (Rupee Ten Only). The buyback price has been set at INR 150/- per Equity Share.

To oversee the process, the Board constituted a Buyback Committee comprising Dr. Bidhubhusan Samal, Chairman, Mrs. Cumi Banerjee, CEO (Secretarial, Legal and Admin) & Company Secretary, Mr. Gorakh Ingale, Group Chief Financial Officer, and Mr. Mithilesh Kumar, Chief Executive Officer - NBFC of the Company. Mrs. Cumi Banerjee was also appointed as the Compliance Officer for the proposed buyback.

The tender offer is planned to be made from all equity shareholders or beneficial owners, excluding the promoters and members of the promoter group who hold Equity Shares as on the record date. The Board has noted that the Promoters and members of the Promoter Group intend not to participate in the buyback.

The Record Date for determining shareholder eligibility is Tuesday, August 18, 2026. The company retains the option, until one working day prior to the record date, to adjust either the Buyback price or the number of Equity Shares proposed, provided there is no change in the aggregate Buyback Size.
