DCG Cables & Wires Limited Board Approves Office Relocation; Addresses Fine Imposed by Stock Exchange

On July 28, 2026, the Board of Directors of DCG Cables & Wires Limited convened and deliberated on several key corporate matters, including approving the shifting of its Registered Office and reviewing the fine levied by the National Stock Exchange (NSE) regarding non-compliance identified for the financial year ended March 31, 2026.
The Board approved the relocation of the company’s Registered Office within the local limits of Gujarat. The shift is from the existing address at '12, Agrasen Industrial Estate, Chotalal ni Chali, Odhav Road, Ahmedabad, Gujarat - 382415' to the proposed address: 'Survey No. 741, Near Atul B ricks, Village: Bhayla, Taluka: Bavla, Ahmedabad, Gujarat - 382220'. Both addresses are situated within the state of Gujarat and fall under the jurisdiction of the ROC Ahmedabad.
The meeting thoroughly reviewed the fine imposed by the Exchange for non-compliance related to the consolidated audited financial results for the half year and financial year ended March 31, 2026. The Board noted that the initial notice issued by the Exchange on June 30, 2026, levied a fine of Rs. 1,71,100/- (inclusive of GST). A subsequent reminder issued by the NSE on July 16, 2026, reflected the continuing accrual of the fine at Rs. 2,47,800/- (inclusive of GST).
The Board observed that the fine arose solely from an inadvertent clerical error during the filing process. The company had submitted its standalone and consolidated audited financial results on May 30, 2026. However, instead of uploading the correct Independent Auditor's Report on the Consolidated Financial Results, a version prepared only for internal reference was inadvertently uploaded. This issue was rectified when the correct report was subsequently uploaded on July 13, 2026, achieving full compliance.
After deliberation, the Board recorded that substantive compliance had been completed within the prescribed timeline, with all figures approved and submitted on May 30, 2026. The rectification made on July 13, 2026, was limited to substituting the correct auditor's report and did not entail any revision or restatement of the financial results already disseminated by the Exchange.
In response to the matter, DCG Cables & Wires Limited filed an application with the Exchange on July 17, 2026, seeking a complete waiver of the fine levied under Regulation 33. The company also requested that any penal action against the promoters, including freezing their shareholding, be kept in abeyance pending the disposal of the waiver application.
Moving forward, the Board directed management to exercise enhanced care and diligence in all regulatory filings. The company committed to strengthening its internal processes for document verification and review before submission to the Exchange to prevent any recurrence of such errors.
