Zetwerk Manufacturing Businesses has filed its Updated Draft Red Herring Prospectus (UDRHP) with the Securities and Exchange Board of India (SEBI). The filing details a significant strategic pivot, centering on a proposed Initial Public Offering (IPO) alongside sharp improvements in core manufacturing operations.

The IPO structure is set to raise up to Rs 2,600 crore through a fresh issue, complemented by an Offer for Sale (OFS) of up to 9.68 crore shares. This move follows a period of significant operational transformation and strategic realignment within the company.

The Offering Details and Capital Allocation​

The IPO is designed primarily to strengthen the balance sheet. The funds raised from the fresh issue are earmarked chiefly for repaying or prepaying existing borrowings held by Zetwerk and its subsidiaries.

Remaining proceeds will be allocated towards unidentified strategic acquisitions and general corporate purposes. Additionally, the company has the option to execute a pre-IPO placement of up to Rs 520 crore, which would reduce the required amount from the fresh issue if completed.

Operational Turnaround Amid Restated Loss​

Zetwerk reported impressive growth in its core business operations for FY26, even as the overall net profit remained negative. Revenue derived from continuing operations jumped by 40.43%, reaching Rs 15,913.3 crore from Rs 11,331.9 crore in FY25.

The shift in profitability is evident as Adjusted PBT turned positive at Rs 45.7 crore. This marks a significant turnaround compared to the loss of Rs 248.8 crore recorded in FY24 and a similar deficit in FY25.

Strategic Pivot: Exiting Civil Infrastructure​

A key element disclosed in the UDRHP is Zetwerk's decision to exit its Civil Infrastructure Works segment. This segment, which included projects like water pipelines and railway tracks, has been classified as a discontinued operation.

The company initiated this strategic realignment after receiving board approval in January and March 2026. The disposal of these operations is expected to be finalized within the next 12 months.

Manufacturing Business Becomes Key Growth Driver​

The Manufacturing Business stood out as the prime driver of growth during FY26. Revenue for this segment increased by 50.02%, reaching Rs 9,374.7 crore from Rs 6,249.1 crore in FY25.

At the close of FY26, the manufacturing division boasted a robust order book valuation of Rs 12,370 crore, marking a 43.3% rise from Rs 8,629 crore recorded the previous year. The segment's EBITDA margin reached 6.03%, with EBITDA increasing to Rs 565.1 crore.

Key Risks Flagged in UDRHP​

Despite improvements in operating metrics and a successful strategic pivot, several material risks were flagged by Zetwerk within the prospectus filing. Chief among these is sustained negative cash flow from operating activities.

Operating cash outflow amounted to Rs 681.5 crore in FY26, which continues the trend of negative outflows seen in FY25 (Rs 386.3 crore) and FY24 (Rs 281.5 crore). The company has warned that future periods of negative cash flow could adversely affect its financial condition.

Customer Concentration and Pledged Promoter Shares​

The UDRHP provided transparency regarding customer dependency, noting that the top 10 customers accounted for 35.90% of total revenue in FY26, up from 26.89% in FY25. Similarly, the top 10 suppliers constituted 38.18% of total expenses in FY26.

A significant risk highlighted was the pledging of promoter shares. As per the filing, 2.85 crore equity shares (representing 1.85%) held by promoters Amrit Pratik Acharya and Srinath Ramakkrushnan were pledged. An additional 7.37 crore shares, representing 4.80%, held by certain promoter-group members were also subject to pledges in favour of Catalyst Trusteeship.

US Legal Battle Intensifies with Ayr Energy​

Zetwerk is currently involved in an international dispute regarding trade secrets and fiduciary duties. The company and two subsidiaries filed a case against Ayr Energy in Texas, which is now proceeding through discovery after the business court denied motions to dismiss.

The situation escalated when Ayr subsequently filed a counterclaim in the Texas proceedings alleging damages of at least $1 billion. Furthermore, Ayr has lodged a complaint before the US International Trade Commission seeking restrictions on exports of certain transformer products by Zetwerk and its affiliates.
