Bengaluru-based managed workspace provider Tablespace Technologies has filed a draft red herring prospectus (DRHP) with the Securities and Exchange Board of India (SEBI). The filing aims to raise up to Rs 800 crore through a fresh issue, alongside an offer-for-sale (OFS) component involving 6.54 crore equity shares.

The IPO marks a significant step in the company’s growth trajectory within the competitive workspace sector. Promoter AGS TS II Holdings Pte, which is owned by Hillhouse Investment, will be the largest seller among the selling shareholders in this offering.

Financial Resilience and Operational Footprint​

Tablespace Technologies operates across eight Tier-1 cities, including Bengaluru and Mumbai Metropolitan Region (MMR). The company manages a substantial portfolio of 11.46 million square feet of leasable area, spread across 33 key office clusters.

The firm competes directly with established players such as Smartworks Coworking Spaces, Indiqube Spaces, Awfis Space Solutions, and WeWork India Management. Despite the competitive landscape, Tablespace demonstrated strong operational performance in the last financial year.

Key Financial Highlights from FY2026​

For the year ended March 2026, Tablespace reported significant improvements in its revenue stream. Revenue increased sharply by 66.3 percent, rising to Rs 2,262.3 crore from Rs 1,360.5 crore in the previous fiscal year.

Crucially, the company managed to narrow its losses substantially. The loss for the year stood at Rs 403.3 crore, a marked reduction from the Rs 1,554.1 crore reported the preceding year.

IPO Structure and Fund Utilization Plan​

The proposed funding structure includes a fresh issue component, which may be subject to an earlier pre-IPO placement round of up to Rs 160 crore. This potential placement would reduce the final amount raised through the fresh issue.

Tablespace plans to utilize a substantial portion of the fresh issue proceeds specifically for debt repayment. The company aims to repay Rs 550 crore against its total outstanding borrowings, which stood at Rs 970.6 crore as of June 2026.

The remaining funds from the IPO will be dedicated towards inorganic growth through identified acquisitions and general corporate purposes.

Investor Stakeholders and Merchant Banking​

Hillhouse Investment holds a commanding stake in Tablespace Technologies, with its ownership reported at 41.76 percent. Amit Mono Banerji also holds a significant stake of 22.14 percent, while Karan Chopra maintains a 12.47 percent stake. These shareholders are involved in the offering's selling components.

The IPO has been structured with several prominent financial institutions. Axis Capital, BofA Securities India, CLSA India, IIFL Capital Services, and JM Financial have all been appointed as merchant bankers for Tablespace Technologies’ IPO.
