Altius Files Draft Offer Documents as it Seeks Public Listing and Capital Infusion​

Altius Telecom Infrastructure Trust, a pivotal player in India's telecom landscape, has formally filed its draft offer documents with the markets regulator. This move signals a major transition from being a privately listed infrastructure investment trust (InvIT) to becoming a publicly traded InvIT. The company aims to raise substantial capital through an Initial Public Offering (IPO).

The filing reveals that Altius plans to raise Rs 500 crore through a fresh issue of units. Additionally, the IPO includes an Offer-For-Sale (OFS) component, allowing existing unitholders to offload up to 30.47 crore units. This comprehensive structure is set to infuse significant funds into the telecom infrastructure sector.

Details of the Rs 6,000 Crore Fundraising Plan​

The overall fundraising goal for Altius has been reported at Rs 6,000 crore through the IPO. The proceeds generated from the fresh issue are earmarked for critical investments in its portfolio assets and to fund necessary capital expenditure requirements. Any remaining funds will be allocated for general corporate purposes.

Meanwhile, the funds raised via the OFS component will directly accrue to the various selling unitholders. These sellers include Brookfield Corporation-managed BIF IV Jarvis India, which plans to sell up to 18.86 crore units. Anahera Investment, a GIC affiliate, intends to offload up to 7.65 crore units, while Rossland IMC Limited Partnership will sell up to 3.96 crore units.

Market Position and Scale of Altius Assets​

Altius possesses an extensive network infrastructure, managing 2.58 lakh telecom sites. These diverse assets include macro towers, rooftop structures, outdoor small cells, and in-building solutions. The InvIT currently manages 3.15 lakh tenancies across all 22 telecom circles.

Based on the draft filings, Altius commands an approximate 39 percent market share by sites. Furthermore, it holds approximately a 34 percent market share when measured by tenancies. These figures underscore its significant scale and established presence in India's crowded telecom sector.

Stakeholding and Operational Structure of Altius Trust​

Brookfield Asset Management maintains the largest stake in Altius Telecom Infrastructure Trust, holding 54.36 percent through its affiliates BIF IV Jarvis India and Project Holdings Nine (DIFC). Anahera Investment holds a significant share of 22.06 percent, corresponding to 67.22 crore units.

BCI IRR India Holdings Inc, backed by British Columbia Investment Management Corporation, owns 9.77 percent or 29.78 crore units. Brookfield Asset Management is noted as managing over $1 trillion in assets across various sectors including real estate, credit, energy, and private equity.

Strong Financial Performance Drives InvIT IPO Bid​

The InvIT has demonstrated robust financial health. Altius Telecom Infrastructure Trust reported a considerable 31.8 percent rise in profit for FY26. This profit reached Rs 1,106.6 crore, significantly up from the previous fiscal year's Rs 839.9 crore.

Revenue also saw substantial growth, increasing by 24.2 percent to Rs 24,165 crore in FY26. This is an increase from the revenue of Rs 19,454 crore recorded a year earlier. The company's privately traded units have seen positive momentum, gaining 1.18 percent in the current quarter, trading at Rs 171.50 on the BSE.

Merchant Bankers Appointed for IPO Process​

A consortium of major financial institutions has been appointed to handle the upcoming IPO process. JM Financial and NovaaOne Capital are among the lead merchant bankers. Other firms appointed include Ambit, Axis Capital, Citigroup Global Markets India, Investec Capital Services (India), Jefferies India, Kotak Mahindra Capital Company, SBI Capital Markets, and 360 ONE WAM. Brookfield-controlled Data Link Investment Manager is the investment manager for Altius Telecom Infrastructure Trust, while Axis Trustee Services serves as its trustee.
