Haryana-based cold rolling mills manufacturer Yogiji Digi has filed its Draft Red Herring Prospectus (DRHP) with the Securities and Exchange Board of India (SEBI). The filing, submitted on July 20, signals the company's move toward an Initial Public Offering (IPO). Yogiji Digi plans to raise ₹ 270 crore through the issuance of fresh equity shares.

The IPO structure includes a significant Offer-For-Sale (OFS) component for existing shareholders. These current investors will sell up to 71.71 lakh equity shares during the offering period. The company is advised by Emkay Global Financial Services and Systematix Corporate Services as its merchant bankers for this venture.

IPO Structure and Shareholding Details​

The filing details the current share distribution of Yogiji Digi. Promoters hold a stake equivalent to 45.27 percent of the company. Public shareholders, meanwhile, own the remaining 54.73 percent of the equity. The availability of both fresh issue and OFS offers a comprehensive opportunity for prospective investors.

Yogiji Digi has also signaled flexibility in its capital structure. Management noted that they may consider raising up to ₹ 39 crore in a pre-IPO round. Should this pre-IPO funding occur, it will be counted towards the fresh issue component, adjusting the size of the main offering accordingly.

Allocation of Proceeds and Financial Stability​

The primary focus for utilizing the net proceeds from the fresh issue is working capital requirements and strategic debt reduction. This commitment underscores the company's focus on operational strength and financial de-risking.

Specifically, ₹ 140 crore from the IPO net proceeds is allocated towards meeting working capital demands. A crucial part of this funding will be directed toward debt reduction, with ₹ 45 crore earmarked for that purpose. As of May 2026, the company's outstanding term loan facilities amounted to ₹ 55 crore.

Yogiji Digi operates as a vital supplier in the flat steel processing sector. The company provides specialized flat steel processing equipment to both domestic and international clients. Its clientele spans integrated steel producers and independent flat steel manufacturers across the metal processing allied sectors.

The company has demonstrated healthy growth metrics over the last financial year. Profit for FY26 saw substantial growth, reaching ₹ 40.4 crore from the previous year's ₹ 28 crore. Concurrently, revenue increased by 30.5 percent to stand at ₹ 626.1 crore, up from ₹ 479.7 crore in the preceding period.
