UPL subsidiary Advanta completes acquisition of Egyptian seed firm Misr Hytech Seed International​

UPL Limited has seen its step-down subsidiary, Advanta Holdings B.V., move forward with a strategic acquisition of Misr Hytech Seed International S.A.E. (Hytech Egypt). This transaction positions the company to secure an immediate leadership role within the rapidly growing agricultural seed markets across the Middle East and Africa.

The acquisition targets Hytech Egypt, which is controlled by Hytech USA. Advanta Holdings B.V. will acquire the equity interest in the entity. The purchase involves a cash consideration of approximately US$110 Mn, subject to closing adjustments detailed in the Equity Purchase Agreement. Upon completion of the transaction, Advanta BV is expected to hold 99.98% of the shareholding in Hytech Egypt.

Advanta Holdings B.V., which is a step-down subsidiary of Advanta Enterprises Limited, forms part of UPL’s Seeds and Post Harvest segment under the broader Advanta platform, where UPL Limited holds an effective 78.21% shareholding. The acquiring company confirmed that the current acquisition does not constitute a related party transaction.

The target entity operates in the agricultural seeds industry (defined as September to August) and has demonstrated varying turnover over the last three financial years:

Transaction Timeline and Requirements​

The indicative timeline for the completion of the acquisition is set on or before January 31, 2027. Prior to finalizing the transaction, specific anti-trust approvals are required, including those from the COMESA Competition and Consumer Commission and the Egyptian Competition Authority.

UPL Stock Price Movement​

Shares of UPL Limited slipped by 0.91% on Friday, closing at ₹563.00 after shedding ₹5.15 from the previous session's close. The decline saw the equity test its 52-week low, with shares trading near ₹558.05 and registering a volume of 1.56 million shares during the day.
