Texmaco Rail & Engineering Limited has executed a Share Subscription & Shareholder's Agreement (SSSA) concerning its subsidiary, Texmaco Defence Technologies Ltd (TDTL). The deal involves investment by Vagus Def Tech & Aerospace Fund-1, referred to as Calculus, into the company.The SSSA, signed on August 14, 2026, covers an investment opportunity in TDTL of up to Rs 200 Crores. The funding structure includes a primary commitment where the first tranche of Rs 100 Crores will be raised through the subscription of fresh equity shares. The remaining Rs 100 Crores is slated to be secured either through issuance of equity instruments, debt instruments, or another manner as mutually agreed upon by Texmaco and Calculus.
This strategic investment marks a shift in TDTL's ownership structure. Following the completion of the proposed subscription, which is targeted within 90 days from the Execution Date, Calculus will hold 30% of the equity share capital of TDTL. Consequently, TDTL will transition from being a wholly-owned subsidiary to a minority subsidiary of Texmaco Rail & Engineering Limited.
The transaction does not involve any sale of stake by the company and is driven solely by further investment from Calculus and Texmaco into TDTL. Upon successful completion of the equity share subscription, the shareholding held by Texmaco in TDTL is expected to be reduced from 100% to 70%.
