The Competition Commission of India (CCI) has granted approval for a significant corporate restructuring concerning TM International Logistics Limited (TMILL). The decision allows Tata Steel Ltd. to acquire the entire equity shareholding held by one of the existing joint venture partners, IQ Martrade Holding GmbH.

This acquisition marks a strategic consolidation within the logistics sector. Through this combination, IQ Martrade will cease its association with TMILL. Following the completion of the deal, Tata Steel and NYK (Europe) B.V. will collectively hold a combined 100% stake in the company.

Redrawing the Partnership Structure in TMILL​

The transaction involves Tata Steel acquiring the 23% equity shares held by IQ Martrade in TMILL. Prior to this approval, TMILL operated as a three-way joint venture involving Tata Steel (51%), IQ Martrade (23%), and NYK Europe (26%).

Post-consummation of the proposed combination, the ownership structure is set to shift dramatically. Tata Steel's stake will rise significantly alongside NYK Europe, reducing TMILL from a tripartite venture to a partnership between two major entities. The resulting equity division will see Tata Steel and NYK Europe hold 74% and 26% shareholdings in TMILL, respectively.
