Tanla Platforms Limited has approved the acquisition of ValueFirst Middle East FZC (VF FZC), a company specializing in CPaaS services, through its subsidiary Karix Mobile FZ LLC. The Board of Directors of Tanla Platforms Limited approved the Share Purchase Agreement on July 28, 2026.

The transaction involves Karix Mobile FZ LLC acquiring 100% of the paid-up share capital of VF FZC from existing shareholders. Upon completion of the proposed acquisition, VF FZC and its associated subsidiaries will become indirect subsidiaries of Tanla Platforms Limited (collectively referred to as 'VFZ Subsidiaries').

The strategic objective of the acquisition is to gain access to the markets and customers where VF FZC operates, while also facilitating administrative efficiency within the company.

Transaction Details and Financial Consideration​

The total enterprise consideration for the transaction stands at AED 58.25 million, which is equivalent to INR 148.52 Crore. The purchase consists of a cash consideration component and an assumption of liabilities by the acquiring entity.

The acquisition is estimated to be completed by Q2 of FY 27.

Operational Impact and Target Profile​

VF FZC, which was incorporated on April 22, 2007, is engaged in providing CPaaS services across multiple channels to enterprises. The company has maintained a significant turnover profile over the last three years (FY 24-26).

Upon closing the deal, VFZ Subsidiaries will include VF LLC (wholly-owned) and PT ValueFirst Komunikasi Indonesia (wholly-owned), as well as ValueFirst For Telecom & IT Co., KSA, in which Tanla holds a 70% stake.
