Samvardhana Motherson International Completes Merger of Key Subsidiaries, Simplifying Corporate Structure​

Samvardhana Motherson International Limited has completed a significant corporate merger involving two of its indirect subsidiaries, Modulos Ribera Alta SL (MRA) and Celulosa Fabril SA (CEFA). The transaction, which registered at the Commercial Register of Zaragoza, Spain, saw MRA merge into its holding company, CEFA.

MRA and CEFA are both indirect subsidiaries of Samvardhana Motherson International Limited. The merger of MRA into CEFA was officially completed on April 20, 2026. Consequently, MRA ceased to exist effective from April 14, 2026.

The rationale provided for the merger is the simplification of the corporate structure and the increase of overall operating efficiency. Following the amalgamation, the assets of MRA were transferred in block, by universal succession, to the assets of CEFA.

The two entities are involved in diverse industrial sectors. CEFA is engaged in the processing, manufacturing, purchasing, and selling of plastic materials, industrial and consumer goods, and providing technical services. MRA’s business previously encompassed processing and manufacturing various kinds of plastic or semi-plastic materials, as well as the wholesale and retail trade of related items.

The turnover figures for the respective entities for the financial year ended March 31, 2025, were as follows:

Today, Samvardhana Motherson International Limited shares edged higher, concluding the session at ₹124.7, marking a gain of 1.31%. The movement was supported by notable institutional activity, with the stock trading through a high volume of 33.67 million shares.
