This transaction concludes the company's stake expansion across related Japanese entities.The transaction involves Samvardhana Motherson International Limited (Company), through its indirect wholly owned subsidiary, Motherson Global Investments B.V. (MGI BV). MGI BV holds an 81% stake in Yutaka Giken Co., Ltd. (YGCL), which was listed on the Tokyo Stock Exchange. Shinnichi Kogyo is a subsidiary of YGCL, with YGCL holding a 62% ownership stake.
The completion relates specifically to the acquisition of an 11% share in Shinnichi from Honda Motor Co., Ltd. (HMCL).
MGI BV finalized the purchase through a Share Purchase Agreement signed with HMCL on July 14, 2026. To close the deal, MGI BV remitted the aggregate purchase consideration amount of JPY 330 million to HMCL. The transaction was successfully achieved on July 14, 2026.
