REC Limited Fined by NSE and BSE Over Board Composition Non-Compliance
REC Limited has been fined by both the National Stock Exchange of India Limited (NSE) and BSE Limited following notices received regarding non-compliance with certain provisions of the Listing Regulations pertaining to the composition of its Board of Directors and associated Committees.The non-compliance issues were identified for the quarter ended June 30, 2026. The stock exchanges imposed a fine of ₹ 10,77,340/- each on REC Limited for the breaches identified.
As a government company, REC Limited stated that the power to appoint Directors on the Board is vested with the President of India, acting through its administrative Ministry, the Ministry of Power, Government of India. The Company emphasized that it has no direct role in the appointment of these directors.
Despite this structure, the company has been requesting its administrative Ministry for the appointment of the requisite number of Independent Directors on the Board of the Company from time to time.
