RBI Slaps ₹1.80 Lakh Penalty on Valuefin for Non-Compliance in Shareholding Acquisition

The Reserve Bank of India (RBI) has leveled a monetary penalty against Valuefin India Credit Services Private Limited following deficiencies in regulatory adherence. The imposition, detailed by the central bank, relates to the company's failure to comply with specific directions regarding the acquisition of shareholding or control.

The RBI ordered the penalty on August 11, 2026. The action is taken in exercise of powers granted under Section 58G(1)(b) read with Section 58B(5)(aa) of the RBI Act, 1934.

Details of Regulatory Non-Compliance

The penalty was levied against Valuefin for failing to secure prior written permission from the RBI. This violation pertains specifically to a change in shareholding that exceeded 26 per cent of the company's paid-up equity capital.

The correspondence reviewed by the RBI covered post-facto approval related to new investors acquiring control or shareholding within the company structure. The lack of timely consent constituted the core charge sustained against Valuefin.

Imposition and Scope of Monetary Penalty

Valuefin India Credit Services Private Limited was fined a monetary penalty amounting to ₹ 1.80 lakh (Rupees One Lakh and Eighty Thousand only). This specific financial action underscores regulatory scrutiny over corporate control changes in the credit services sector.

The RBI noted that this disciplinary measure is purely based on deficiencies in regulatory compliance, notting its opinion on the underlying transaction or agreement. The penalty does not affect the validity of any contracts entered by Valuefin with its customers.

RBI's Stance on Penal Action

RBI issued a notice advising the company to provide cause as to why a monetary penalty should not be imposed. After considering the company's response and oral submissions during a personal hearing, the final decision was made.

The issuance of this monetary penalty is without prejudice to any other action that the RBI may initiate against Valuefin in the future. This serves as a formal warning regarding adherence to all prescribed regulatory guidelines.
