Capital Market Initiatives and AGM Details​

In addition to the financial reporting, the Board meeting sanctioned the issuance of warrants to two investors: Mr. Rajendra Mutha and Krsna Diagnostics (Mumbai) Private Limited.

The company proposed issuing up to 16,21,000 share warrants on a preferential private placement basis. These warrants are convertible into one fully paid-up equity share of face value ₹5 each. The issue price for the warrants is determined by whichever is higher: the floor price as on a future relevant date or Rs. 565/-. Each warrant can be exercised in tranches over an 18 month period commencing from the allotment date.

The Board also finalized details related to the forthcoming Annual General Meeting (AGM), scheduled for Monday, September 28, 2026, at 11:00 Hrs. (IST) in a physical mode.

  • The final dividend recommended for the Financial Year 2024-25 is INR 2.00/- (Rupees Two only).

Update on Tax Assessments​

The company received assessment orders from Income Tax authorities concerning various Assessment Years (AYs), resulting in a demand order of INR 626.90 million across the AY range of 17-18 to 23-24. These assessments stem from search and seizure proceedings conducted under Section 132(1) and Section 133A of the Income Tax Act, 1961.

The company has filed appeals against these assessment orders with the Joint Commissioner (Appeals)/Commissioner of Income Tax (Appeals). Against the order for AY 2022-23, Krsnaa Diagnostics Limited has deposited the tax under protest amounting to INR 39.27 million. Furthermore, the company requested the Assistant Commissioner of Income Tax to adjust income tax refunds for AY 2024-25, totaling INR 63.50 million, against amounts to be deposited under protest.

Management confirmed that based on available information and expert opinion, the demand orders are not tenable and are not expected to have any material impact on the Group's financial position or performance as of June 30, 2026.

KRSNAA Stock Price Movement​

Krsnaa Diagnostics Limited slipped on Thursday, with the stock shedding 2.75% to settle at ₹556.75 after falling by ₹15.80. The equity saw a traded volume of 83,070 shares during the session.
