Prism Hotels and Resorts, the parent company of Oyo, has advanced significantly toward its anticipated listing by filing its updated Draft Red Herring Prospectus (UDRHP) with the Securities and Exchange Board of India (SEBI). This move marks a critical step as the company readies itself for a potential stock market debut.

The planned Initial Public Offering (IPO) is structured entirely as a fresh equity issue, providing up to Rs 6,650 crore in capital. Notably, the IPO does not include any offer for sale from existing shareholders. The filing also allows for a pre-IPO placement of up to Rs 1,330 crore, which will be adjusted against the total fresh issue size if completed.

Structured Use of Proceeds and Strategic Partnerships​

The proceeds generated through the IPO carry a dual strategic focus, addressing both debt management and future growth. The UDRHP details that Rs 4,987.5 crore from the raised funds is earmarked for repaying or prepaying existing borrowings.

The remaining capital will be allocated towards general corporate purposes and expansion. The investment thesis is bolstered by commitments from marquee investors. These include global giants like Microsoft, Airbnb, SoftBank's SVF India Holdings, Peak XV Partners, and Lightspeed, who are participating in the offering.

Robust Financial Growth Drives Valuation Talk​

Prism demonstrated considerable operational efficiency and profit acceleration during the first nine months of Fiscal Year 2026 (FY26). The company reported revenue from operations totaling Rs 6,941 crore for this period, marking a strong upward trend compared to FY25's Rs 6,259 crore.

Profit after tax (PAT) also showed significant improvement, standing at Rs 748 crore in nine months, substantially higher than the Rs 245 crore recorded in the previous fiscal year. Furthermore, EBITDA more than doubled, rising to Rs 2,127 crore from the prior year's figure of Rs 953 crore.

Operational Scale and Business Footprint​

As of December 31, 2025, Prism maintained a massive operational footprint across multiple verticals. The company reported operating 243,303 hotels along with 144,583 associated homes globally. These figures underscore the scale of their hospitality infrastructure.

The Indian market segment is particularly strong, with the company overseeing 14,937 company-serviced storefronts. There has been healthy growth in this area; company-serviced hotel storefronts increased to 1,573 at the end of December, up from 1,053 nine months earlier. This local expansion contributes nearly half of the company's Gross Booking Value (GBV) in India.
