Nucleus Software Exports Limited has established the Nucleus Software Equity Incentive Trust. This trust is designed to implement various employee benefit schemes for its employees, aimed at attracting, retaining, and incentivizing them through equity-based incentive mechanisms.The trust was constituted by Nucleus Software Exports Limited with Beacon Trusteeship Limited serving as the Trustee. The deed of trust formalized this relationship on May 29, 2026.
The purpose of the newly formed Nucleus Software Equity Incentive Trust is to manage and fund various employee benefits offered by the company. These schemes include, but are not limited to, Employee Stock Option Schemes (ESOS), Restricted Stock Units (RSUs), Employee Share Purchase Schemes (ESPS), Stock Appreciation Rights Schemes (SARS), and General Employee Benefit Schemes (GEBS).
As part of the establishment of the trust, Nucleus Software Exports Limited transferred an Initial Corpus of Rs. 10,000 to the Trustee.
The trust is set up with the overall objective of administering and implementing the comprehensive Employee Benefit Scheme(s) introduced by Nucleus Software. The trust operations include activities such as acquiring shares of the company through fresh subscription or secondary acquisition, managing funds for the benefit of employees, and executing the necessary processes related to vesting and exercise of granted benefits.
