Muthoot Fincorp has filed its draft prospectus with the Securities and Exchange Board of India (SEBI), signaling a significant capital-raising move. The company aims to raise Rs 3,000 crore through an Initial Public Offering (IPO) in a move intended to strengthen its financial base.

The IPO is structured as an entirely fresh issue of equity shares, with each share having a face value of Rs 2. These securities are slated for listing on both the National Stock Exchange (NSE) and the BSE.

Proceeds generated from this capital infusion will be strategically utilized to augment Muthoot Fincorp's Tier-I capital base. This enhanced capital is designated to meet future requirements, supporting company growth and expansion as well as funding onward lending operations.

##Financial Strength and Growth Trajectory

The filing reveals a trajectory of substantial financial improvement for the NBFC. Consolidated profit increased dramatically in FY26 to Rs 1,847.62 crore, up significantly from Rs 607.90 crore recorded in the previous fiscal year.

Consolidated revenue from operations also saw a healthy rise, moving to Rs 11,203.81 crore from Rs 8,497.69 crore in FY25.

The company's core gold loan business is demonstrating exceptional growth metrics. Citing the Crisil report, draft papers noted that the gold loan AUM grew at a compound annual growth rate (CAGR) of 59.04 percent between March 2024 and March 2026.

##Diversification and Operational Scale

As part of the heritage-rich Muthoot Pappachan Group, which has operated since 1887, Muthoot Fincorp operates as a diversified NBFC. Its flagship remains gold loans, but its portfolio is extensive and growing.

Beyond its dominant gold loan segment, the company provides business loans, loans against property, digital loans, microfinance, and housing loans. It offers a wide range of financial services to its clientele.

As of March 31, 2026, the group held assets under management (AUM) totaling Rs 73,444.72 crore. This impressive scale is supported by a vast network comprising 5,610 branches across India.

##Strategic Outlook and Book Running Leads

The company maintains that its gold loan branch network, which totals 3,781 branches as of March 31, 2026, acts as the core engine for customer acquisition and collateral handling. This foundation is strongly complemented by dedicated sourcing capabilities.

Muthoot Fincorp has strategically evolved beyond a pure franchise model. It has progressed into a broader multi-business-unit financial services franchise, all unified through its digital platform, Muthoot FinCorp ONE. The company reports that this digital platform currently caters to 4.26 million users.

The IPO is being managed by several prominent institutions. Kotak Mahindra Capital Company, Morgan Stanley India Company, JM Financial, and SBI Capital Markets are serving as the book running lead managers for the issue.
