Motisons Jewellers Limited has entered into a Memorandum of Understanding (MoU) with Moti Developers, a partnership firm. The agreement pertains to the development of a new jewellery showroom as part of the Company's expansion efforts.

Under the terms established by the MoU, Moti Developers will undertake the entire construction and development process for the showroom, which is strategically located in Udaipur, Rajasthan, known as the City of Lakes. Upon the successful completion of the project, the premises will be leased to Motisons Jewellers Limited, subject to mutually agreed terms and conditions.

The Company stated that the MoU is considered an ordinary course of business and is anticipated to support its future expansion plans by adding a showroom on a lease basis.

Details of the Partnership and Transaction​

The MoU involves related parties. Moti Developers is associated with the promoter group of Motisons Jewellers Limited. Key members of Moti Developers include:

  • Mr. Sandeep Chhabra (Promoter & Chairman cum Whole Time Director)
  • Mr. Laksh Chhabra (Promoter Group & Joint Managing Director)
  • Mr. Kaustubh Chhabra (Promoter Group and Chief Financial Officer)
  • Mr. Prakkhar Chhabra (Promoter Group)

These individuals are partners in Moti Developers. The transaction is classified as a related party agreement, executed by the listed entity in the ordinary course of business and at 'arm's length'.

The scope of the MoU confirms that Moti Developers will construct the facility and subsequently lease the completed premises to Motisons Jewellers Limited. The tenure of the agreement, though to be mutually agreed upon by the parties, has been formalized through the understanding.
