The board approved key increases in financial limits across various operational areas, along with a substantial increase in the company's authorized share capital.

Key approvals included authorization for property disposition and strategic financing enhancements, all subject to subsequent shareholder approval at an Extraordinary General Meeting (EGM) scheduled for August 19, 2026.

Financial Limits and Capital Structure Decisions​

The Board sanctioned several increases concerning the Company’s financial structure and operational capacity:

  • Property Disposal: The company was approved to sell, lease, transfer, or dispose of all or part of its undertaking, including creating a charge or mortgage, up to a limit of Rs. 3,00,00,00,000 (Three hundred Crores Only).
  • Borrowing Limit: The borrowing limit for the company was increased up to Rs. 3,00,00,00,000 (Rupees Three Hundred Crore Only).
  • Related Party Transactions: Approval was granted to advance any loan or provide a guarantee/security in respect of a loan not exceeding Rs. 3,00,00,00,000 (Rupees Three Hundred Crore Only) to specific subsidiaries, associates, and related parties.
  • Investment Limit: The limits for making investments in other body corporates were increased up to Rs. 3,00,00,00,000 (Rupees Three Hundred Crore Only).

Authorized Capital Increase​

A major decision ratified by the Board was the proposal to increase the Authorized Capital of Mohini Health & Hygiene Limited. The authorized capital will be increased from the existing amount of Rs. 25,00,00,000 (Twenty Five Crore only), divided into 2,50,00,000 (Two Crore Fifty Lakhs) Equity Shares of Rs. 10/- each, to Rs. 65,00,00,000 (Sixty Five Crore Only). This new capital will be divided into 6,50,00,000 (Six Crore Fifty lakhs) Equity Shares of Rs. 10 each.

Material Related Party Transactions and Security Pledges​

The Board also approved several material related party transactions recommended by the Audit Committee on July 24, 2026. These approvals relate to various entities within the company’s structure, including Dhananya Capital Private Limited (DCPL) and Winsome Yarns Limited (WYL).

Furthermore, the Board approved a Corporate Guarantee in favor of Axis Trustee Services Limited. This guarantee secures the repayment of Senior, Secured, Unrated, Unlisted, Redeemable Series A Non-Convertible Debentures aggregating up to INR 70,00,00,000 (Indian Rupees Seventy Crore only) issued by Dhananya Capital Private Limited.

Governance Updates and EGM Details​

The Company’s leadership saw changes regarding the Chief Financial Officer role. Mr. Anil Kumar Singhania tendered his resignation as CFO, effective August 1, 2026, citing personal preoccupation.

In response, Mr. Sachin Patangiya was appointed as a Chief Financial Officer (CFO), effective August 1, 2026. Mr. Patangiya is a Chartered Accountant with over 19 years of experience in finance and strategic financial management, having been associated with Mohini Health & Hygiene Ltd for the past seven years.
