Meesho Ltd has announced its unaudited financial results and other corporate developments following the outcome of its Board meeting held on July 23, 2026. The company confirmed significant operational movements, including an investment in its grocery subsidiary and the acquisition of shares in its payments entity to achieve full ownership.

For the quarter ending June 30, 2026, Meesho reported a Total Income of 25,599.43 million INR. The company's total expenses were recorded at 22,061.73 million INR, resulting in a Profit before tax of 3,537.70 million INR. The unaudited standalone financial results for the quarter were reviewed by the Audit Committee and approved by the Board of Directors.

Consolidated Results:
On a consolidated basis, Meesho recorded Total Income of 38,264.03 million INR. This figure was against Total expenses of 39,592.38 million INR for the quarter. The unaudited results showed a (Loss) before tax of (1,328.35) million INR, with a loss per share attributable to Owners of the Parent reported at (0.28).

Strategic Investments and Acquisitions​

The Board meeting approved several key strategic initiatives focused on optimizing its subsidiary structure and driving growth in e-commerce essentials.

Grocery Business Expansion:
Meesho committed an additional investment into Meesho Grocery Private Limited (MGPL), a wholly owned subsidiary, with an aggregate amount not exceeding INR 75,00,00,000. This investment will be made through the subscription to a rights issue or further issue of capital in one or more tranches as offered by MGPL.

Payments Entity Stabilization:
The company also approved the acquisition of 1 equity share of Meesho Payments Private Limited (MPPL). The acquisition was conducted from an existing shareholder for a consideration of INR 327/- per share. This move is set to increase the Company's shareholding in MPPL from 99.99% to 100%, thereby making MPPL a Wholly Owned Subsidiary (WOS) of Meesho Ltd.

Operational and Governance Updates​

The Board meeting also addressed governance matters and internal operational streamlining:

  • Articles of Association Amendment: The company approved the alteration of its Articles of Association, specifically substituting existing Article 122 with a revised version to incorporate nomination rights for Founders and significant investors.
  • Internal Reorganization: The management confirmed an internal reorganization involving several Group entities, including Valmo Transportation Private Limited (VTPL) and Meesho Technologies Private Limited (MTPL). This reorganization aims to enhance administrative efficiency and specialized functional focus across the Group's logistics business operations.
