
KP Group and Raz Holding Group Sign Non-Binding Letter of Intent for Strategic Investment
KP Group, a leader in renewable energy, and Raz Holding Group, a leading diversified conglomerate from Saudi Arabia, have signed a Non-Binding Letter of Intent (LOI) regarding a proposed strategic investment and/or collaboration. The agreement outlines Raz Holding Group's intention to collaborate with KP Group or its operating entities through a strategic investment.The proposed strategic investment and/or collaboration may be executed via acquisition/acquisitions, capital infusion, or through collaboration, contingent on the final structure, instrument, and valuation being mutually agreed upon by the parties after the completion of due diligence.
The LOI specifies that the proposed venture is subject to the satisfactory completion of various due diligence processes, including financial, legal, tax, technical, and ESG due diligence. Furthermore, it requires negotiation and execution of definitive and legally binding agreements, along with necessary corporate, board, and shareholder approvals from both sides.
The parties intend to work toward definitive agreements within an exclusivity period of ninety days from the date of the LOI. This exclusivity period remains valid until November 18, 2026, unless extended through a mutual written agreement.
For KP Group, the LOI signals growing international interest in India's clean-energy sector. This includes the Group's portfolio spanning Solar and Wind Independent Power Projects (IPP), Engineering, Procurement, and Construction (EPC), transmission, and manufacturing. The portfolio also encompasses emerging positions in battery energy storage systems, cell manufacturing, O&M services, and green hydrogen.
