KP Group and Raz Holding Group Sign Non-Binding Letter of Intent for Strategic Investment​

KP Group, a leader in renewable energy, and Raz Holding Group, a leading diversified conglomerate from the Kingdom of Saudi Arabia, have signed a Non-Binding Letter of Intent (LOI) regarding a proposed strategic investment and/or collaboration.

The LOI outlines Raz Holding Group's intent to make a strategic investment in, and/or collaborate with, KP Group and/or one or more of its operating entities. The proposed strategic investment and/or collaboration could be effected through acquisition(s), capital infusion, or collaboration with the final structure. The final instrument and valuation will be mutually agreed upon by the parties following the completion of due diligence.

The LOI explicitly states that it is non-binding in its entirety and creates no obligation on either party to proceed with or complete the proposed strategic investment and/or collaboration. Any binding commitment will only arise upon the execution of definitive agreements.

The process is subject to the satisfactory completion of financial, legal, tax, technical, and ESG due diligence, as well as negotiation and execution of definitive and legally binding agreements. Furthermore, the collaboration requires necessary corporate, board, and shareholder approvals from both parties, along with all applicable regulatory and customary approvals, including those relevant under FEMA/RBI, SEBI, and competition-law requirements.

The parties intend to work towards definitive agreements within an exclusivity period of ninety days from the date of the LOI. The Letter of Intent remains valid until November 18, 2026, unless mutually extended in writing.

For KP Group, the LOI reflects the growing international investor interest in India's clean-energy sector and the Group's portfolio. KP Group's expertise spans Solar and Wind IPP, EPC, transmission and manufacturing, and emerging areas such as battery energy storage systems, cell manufacturing, O&M services, and green hydrogen.
