Indo Thai Securities Ltd confirmed that a portion of its convertible warrants have lapsed, leading the company to approve the forfeiture of the initial subscription amount received from the concerned allottees. This decision was made following the meeting of the Preferential Allotment Committee held on July 14, 2026.Initially, the company had allotted 14,60,000 convertible warrants to 26 allottees on a preferential basis. The initial issue price for these warrants was Rs. 500/- per warrant. Subsequent changes following a stock split saw the equity share face value revised from Rs. 10/- to Rs. 1/-, and the warrant issue price adjusted accordingly. At the time of allotment, the company received an initial subscription amount of Rs. 18,25,00,000/ (representing 25% of the issue price).
The Preferential Allotment Committee determined that non-exercise of the conversion option by specific allottees constituted a lapse. These warrants were set to expire after an eighteen-month period from the date of allotment, which was July 13, 2026.
The committee approved the forfeiture of the initial 25% subscription amount for the warrants that failed to convert into equity shares within the stipulated time frame. The lapsed warrants are therefore cancelled.
