Caprihans India Forfeits 3,15,000 Warrants from Bilcare Limited After Lapse Period Expiry

Caprihans India Ltd has announced the lapse and subsequent forfeiture of 3,15,000 warrants held by promoter Bilcare Limited. The warrants expired after the stipulated exercise period as the company did not receive the balance consideration due upon conversion to equity shares.

The allotment of warrants was initially made to Bilcare Limited at an issue price of ₹200 per warrant. The total issuance amounted to 48,00,000 warrants. Per the terms of the issue, while a portion of the subscription amount was received upfront, the remaining balance was due upon the exercise of options within a specified timeframe.

The deadline for exercising these warrants was set for June 4, 2026. Since the company did not receive the requisite payment from Bilcare Limited within this timeline, the 3,15,000 outstanding warrants lapsed on the expiry date.

Consequent to the lapse of these warrants, Caprihans India Ltd has retained the upfront subscription amount paid in respect of those specific warrants, amounting to ₹1,57,50,000. The forfeiture and retention of this amount are in line with the terms of the issue and applicable regulations.

The company confirmed that there will be no change in the paid-up equity share capital following the lapse of these warrants.
