IIFL Capital Services Ltd, formerly known as IIFL Securities Ltd, announced its consolidated financial results for the quarter ended June 30, 2026. The company reported a steady performance in Q1FY27, driven by resilience in investment banking and institutional equities businesses, alongside continued traction across wealth and asset management platforms.

Consolidated operating revenue for the quarter stood at ₹631 crores, reflecting a 2% decline Quarter-on-Quarter (Q-o-Q) but marking a 2% increase Year-on-Year (Y-o-Y).Operating profit before tax was reported at ₹149 crores, which is up 4% Q-o-Q but down 9% Y-o-Y.

As of June 30, 2026, the total assets under management stood at ₹2,57,095 crores. This figure includes distribution assets amounting to ₹57,364 crores and custody assets totaling ₹1,99,731 crores.

Business and Operational Updates​

In the Non-Institutional business segment, IIFL Capital maintains a strong presence in the capital market, serving clients through over 2,600 partners and more than 100 branches across India. For the quarter, the average daily market turnover for the broking business (including F&O) was ₹3,15,780 Crores (BSE + NSE), representing a 41% increase Y-o-Y and a 2% decline Q-o-Q.

Financial Product Distribution AUM stood at ₹57,364 crores, showing a 10% growth Q-o-Q.

In the Investment Banking division, the company completed 11 deals across capital markets and private placement/advisory in Q1FY27. Noteworthy transactions include an IPO for Bagmane Prime Office REIT, a Qualified Institutional Placement (QIP) for Acme Solar Holdings, Krishna Institute of Medical Sciences, KRN Heat Exchanger, as well as private placements for Yes Madam Technologies and SSF Plastics India. The deal pipeline remains robust with multiple transactions currently in various stages of execution.

Fairfax Investment Proposal Details​

Fairfax India Holdings Corporation, through FIH Mauritius Investments Ltd. and its affiliate 'Fairfax,' has proposed to increase its shareholding in the company to at least 51%. This proposal involves a combination of transactions, including an open offer, arrangements with existing promoters, and a preferential issue of equity shares aggregating approximately ₹2,000 crores @ ₹350 per share.

Shareholders had previously approved the preferential issue of equity shares during the Extraordinary General Meeting held on June 01, 2026. Upon completion of this proposed investment, Fairfax will be part of the Promoter Group and will have the right to nominate two directors to the Board. The strategic investment is anticipated to strengthen the company's capital base and support growth across its institutional equities, wealth management, asset management, and investment banking operations, enhancing the firm’s credibility through Fairfax's long-term partnership and global network.
