AVI Polymers Ltd Appoints Two New Independent Directors and Reconstitutes Key Committees​

AVI Polymers Ltd announced significant changes to its Board of Directors following a meeting held on June 09, 2026. The company approved the appointment of two new Non-Executive Independent Directors while simultaneously noting the resignations of two existing directors, leading to the necessary reconstitution of several key committees.

The Board formally approved the appointment of Meenu Jain and Reema Magotra as Non-Executive Independent Directors (Additional). These appointments are effective from June 09, 2026, for a term of five consecutive years, subject to shareholder approval.

Meenu Jain was appointed based on her background as a Qualified Associate Company Secretary with expertise in Corporate Secretarial Operations and Corporate Governance. She has 12 years of experience and holds certification from the Indian Institute of Corporate Affairs. Her professional history includes working at Vikas Verma & Associates since August 2023, and she is certified by Aptech designed by ICSL, Delhi.

Similarly, Reema Magotra was appointed as a Non-Executive Independent Director (Additional). She brings experience in business management, corporate governance, finance, and administration to the Board, aiming to strengthen the Company's governance practices. Both directors have no reported relationship with any other existing Directors of the company.

Directors Resign​

The meeting confirmed the resignations of two Non-Executive Independent Directors (NEIDs). Mr. Sadhu Jignesh Harendrabhai and Ms. Varsha Prajapat both tendered their resignations effective June 09, 2026, citing pre-occupancy with other professional commitments.

Committee Structure Reconstituted​

As a result of the appointments and resignations, the Board of Directors reconstituted the Audit Committee, the Nomination & Remuneration Committee, and the Stakeholder Relationship Committee. These changes are effective from June 09, 2026.
