Vilin Bio Med Limited has entered into a Memorandum of Understanding (MOU) with Ideal Pharma BV, Netherlands, to establish a strategic collaboration focused on the distribution of medicines across Europe.

The agreement aims to facilitate preferential and long-term cooperation between the two parties concerning the full range of Pharmaceutical and Healthcare products in the European market. This partnership leverages Ideal Pharma's established European Wholesale Distribution Infrastructure for the distribution of Generic and Branded Medicines.

Key terms outlined in the MOU indicate that while the parties have committed to cooperating on distribution, the allocation of responsibilities is currently indicative and will be finalized through Definitive Agreements later executed by both companies. The MOU specifically states that it does not confer any special rights to either party, such as the right to appoint Directors, Pre-emptive Rights, or First Right to subscribe to Shares.

Furthermore, the Memorandum confirmed that neither Vilin Bio Med Limited nor Ideal Pharma BV has any shareholding in the other entity, and there is no relationship between the parties and the Promoter Group, ensuring the transaction is not classified as a Related Party Transaction.
