Viji Finance Ltd has allotted 1,45,00,000 equity shares of Re. 1/- each following the conversion of warrants held by four non-promoter warrant holders. The allotment was finalized at a meeting on July 24, 2026.The equity shares were issued at an issue price of Rs. 2.80/- per share, which includes a premium of Rs. 1.80/- per share. The current tranche of the conversion represented payment of the balance 75% of the issue price, amounting to Rs. 2.10/- per warrant and aggregating to Rs. 3,04,50,000/- (Rupees Three Crore Four Lakhs Fifty Thousand only).

Progress on Preferential Allotment
This allotment concludes the conversion process for this specific batch of warrants. Prior to this event, Viji Finance Ltd had conducted multiple stages of preferential allotment and warrant exercise:- A committee meeting on June 16, 2026, had previously allotted 8,85,00,000 warrants to 19 investors for a 25% upfront subscription.
- Subsequently, 3,04,00,000 equity shares were allotted on June 29, 2026, after nine warrant holders paid the balance 75% of the issue price, aggregating Rs. 6,38,40,000.
- An additional 1,86,00,000 equity shares were allotted on July 10, 2026, after three warrant holders paid the balance 75% of the issue price, aggregating Rs. 3,90,60,000.
The allotment of these new shares ranks pari-passu with all existing equity shares regarding dividend and other rights.
Financial Update
Following the successful completion of this conversion, the issued, subscribed, and paid-up capital of Viji Finance Ltd has increased from Rs. 19,15,00,000/- to Rs. 20,60,00,000/-. The company now possesses 20,60,00,000 fully paid-up Equity Shares of Re. 1/- each.The process also retained a remaining balance of 2,50,00,000 warrants held by three warrant holders, which are eligible for conversion into an equivalent number of equity shares upon payment of the outstanding subscription amount and timely exercise of their conversion rights.
