Viji Finance Limited Announces Preferential Allotment of 8,85 Lakh Convertible Warrants for Rs 24.78 Crore​

Viji Finance Limited has completed the preferential allotment of convertible share warrants totaling 8,85,00,000 units to non-promoters and other persons. The decision was made by the Company's Preferential Allotment Committee in a meeting held on June 16, 2026.

The total issue size for these warrants is Rs 24,78,00,000 (Rupees Twenty Four Crores Seventy Eight Lakhs only). The allotment was made in compliance with approval received previously from the board and stock exchanges.

Financial Details of Allotment​

The Company reported an aggregate upfront subscription amount of Rs 6,19,50,000 for the warrants, which represents 25% of the total consideration. The remaining 75% payment is scheduled to be made by warrant holders at the time they exercise their conversion rights. This conversion must occur within a period of 18 months from the date of allotment, as per applicable regulations.

Revision of Preferential Issue Size​

The preferential allotment process underwent a revision following the non-participation of three proposed investors: Vicky R. Jhaveri HUF, Rajesh Nanubhai Jhaveri HUF, and Mrs. Harsha Rajesh Jhaveri. These three entities were initially proposed to subscribe to 3,90,00,000 warrants, totaling Rs 35,70,00,000.

As a result of this non-participation, the size of the preferential issue was revised from the original plan of 12,75,00,000 Convertible Warrants aggregating to Rs 35,70,00,000 down to the final structure of 8,85,00,000 Convertible Warrants for Rs 24,78,00,000.
