Vedanta Limited's Previous Restrictions Are Lifted Following Rescission of Facility Agreement

Vedanta Limited has confirmed the complete release of prior restrictions placed on it, following the rescission and repayment associated with a Facility Agreement involving promoter group entities.

The updates relate to a facility agreement executed on December 30, 2025. While Vedanta Limited was not a party to this specific agreement, several affiliated entities were involved in its structure. The parties included Vedanta Resources Limited as the Borrower. Guarantors for the facility agreement were Twin Star Holdings Ltd., Vedanta Holdings Mauritius II Limited, and Welter Trading Limited.

The financing aspect of the agreement involved banks such as Bank of Maharashtra IFSC Banking Unit and Bank of Maharashtra GIFT City Branch, which acted as lenders and agents in the arrangement.

Under the terms of the Facility Agreement, the borrower entities and guarantors had agreed to ensure that Vedanta Limited did not undertake certain specific actions or activities unless explicitly permitted within the parameters of the facility agreement. This restriction stemmed from an Earlier Disclosure made by Vedanta Limited on January 2, 2026.

The current disclosure confirms the rescission of this Facility Agreement. The rescission occurred subsequent to the full repayment of facilities under the arrangement. Consequently, all restrictions previously disclosed regarding the actions and activities of Vedanta Limited are now released.
