UPL Limited to Invest in Sinova for Working Capital Infusion in Brazil​

UPL Limited has announced a significant further investment in Sinova lnovacoes Agricolas S.A. (Sinova), a key associate entity operating in Brazil. The investment will be channeled through the company's step down subsidiary, United Phosphorus Holdings Brazil B.V (UPL Brazil).

The transaction involves UPL investing approximately USD 86.7Mn (BRL 450Mn) into Sinova. This equity infusion is aimed at addressing the working capital requirements of Sinova and facilitating the reduction of its debt.

Sinova, formerly known as Sinagro Produtos Agropecuarios S.A., is a major reseller of grains and agricultural products, maintaining a significant presence in Brazil's 'Cerrado' savanna region. Strategically, Sinova plays an important role in promoting and reselling UPL products within one of Brazil's main agricultural hubs.

Sinova Entity Overview​

Sinova was incorporated on February 12, 2001, and operates across Brazil. The company has reported the following audited turnover figures over the past three years:

The investment constitutes a related party transaction, as Sinova is an associate company held by UPL Brazil. While the initial promoter/promoter group/group companies do not hold any direct or indirect interest, the current investment is designed to strengthen Sinova's operational capacity.

Ownership and Timeline​

Upon completion of the investment, UPL Brazil's total holding in Sinova is expected to rise from 49.97% to 55.81%. Despite the increased stake, UPL affirmed that Sinova will continue to operate as an associate company, as the group will not exercise control over the entity.

The timeline for the investment is set for completion on or before May 15, 2026. The investment amount is provided as cash consideration.

UPL Stock Price Movement​

Shares of UPL Limited on Friday slipped 1.77% to settle at ₹631.4, marking a pullback from its previous close. The stock traded on a volume of 1.79 million shares, finding support near the day's low of ₹629.95.
