A promoter of the company, Mr. Deepak Suresh Chaudhari, is designated to receive up to 2,49,750 convertible warrants for an aggregate subscription amount up to ₹49,99,99,500/-.

The proposed Preferential Issue mandates that all Subscription Securities are issued for cash consideration and will be allotted in dematerialized form within a stipulated period, contingent upon the receipt of necessary approvals.

Utilization of Funds
The funds raised from this Preferential Issue are planned to meet two primary objectives:

1. Repayment or pre-payment, in full or part, of certain borrowings availed by the company, including estimated prepayment charges and accrued interest payments (estimated amount: ₹250 Crores).
2. General corporate purposes (estimated amount: ₹75 Crores).

The issuance size is set to monitor the use of proceeds under a designated Monitoring Agency, which has been appointed as Crisil Ratings Limited. This agency will submit reports on the utilization of funds quarterly until 100% of the Issue Proceeds are utilized.

Meeting and Voting Timeline
The matter was brought before members via an Extra-ordinary General Meeting (EGM). The EGM is scheduled for Thursday, August 20, 2026. The company has facilitated remote e-voting, which runs from Sunday, August 16, 2026, at 09:00 A.M. (IST) until Wednesday, August 19, 2026, at 05:00 P.M (IST).

The company confirmed that there will be no change in control or management consequent to the Preferential Issue, as Mr. Deepak Suresh Chaudhari remains a promoter of the company both before and after the completion of the transaction.
