Sarla Performance Fibers Board Approves Buyback of Shares Worth Up To ₹44 Crores​

Sarla Performance Fibers Limited announced that its Board of Directors, during a meeting held on Monday, May 11, 2026, approved a significant proposal to buy back its own equity shares.

The Board approved the buyback of up to 40,00,000 fully paid-up equity shares, each having a face value of ₹1. The buyback will be conducted at a Buyback Price of ₹110 per Equity Share, resulting in a maximum aggregate amount of up to ₹44,00,00,000 (Forty Four Crores only).

Buyback Parameters and Ratios​

As reported by the company, the proposed buyback represents the following percentages of the company's capital and reserves, based on the latest audited standalone and consolidated financial statements as at March 31, 2026:

The buyback is planned to be made from all equity shareholders and beneficial owners, excluding promoters and members of the promoter group who hold shares as of the record date. The shares will be acquired through a tender offer route.

The Board also stipulated that a minimum of 15% of the number of Equity Shares proposed to be bought back, or the number of Equity Shares held by small shareholders on the record date (May 15, 2026), whichever is higher, shall be reserved for small shareholders.

Key Dates and Management​

The company fixed Friday, May 15, 2026, as the record date for determining the eligibility and names of equity shareholders participating in the buyback. The Board also noted the intention of the Promoters and members of the Promoter Group not to participate in the proposed buyback.

The company appointed Monarch Networth Capital Limited, a SEBI registered Merchant Banker, as the Manager for the Buyback. Mr. Mustafa Yusuf Manasawala, Company Secretary and Compliance Officer, was appointed as the Compliance Officer for the purpose of the buyback.
