Sammaan Capital Completes Tender Offer for U.S. Senior Secured Social Bonds​

Sammaan Capital Limited announced the completion of its Tender Offer for its outstanding U.S.$450,000,000 7.5% Senior Secured Social Bonds due 2030 on May 5, 2026. The company confirmed the tender results as of the Expiration Time, completing its previously announced offer to purchase the bonds for cash.

The company holds an aggregate outstanding principal amount of U.S.$450,000,000 in these bonds. The Tender Offer permitted the company to purchase bonds in an aggregate principal amount up to a Maximum Purchase Amount of U.S.$45,000,000.

The Tender Offer was consummated on May 5, 2026. The initial purchase of U.S.$45,000,000 was already accepted on the early acceptance date of April 21, 2026.

Transaction Financial Details​

As of May 5, 2026, Sammaan Capital Limited paid a total amount of U.S.$45,074,999.97 in connection with the Tender Offer. This payment comprised two key components:

1. Early Tender Offer Consideration: This covered the payment of U.S.$1,000 per U.S.$1,000 principal amount of the bonds.
2. Interest and Additional Amounts: This included accrued and unpaid interest and additional amounts for the U.S.$45,000,000 aggregate principal amount of the bonds validly tendered and accepted by the company on April 21, 2026.

The completion of the Tender Offer left the aggregate principal amount of Bonds that remains outstanding at U.S.$405,000,000.

The company reiterated that the Expiration Time for the Tender Offer occurred at 5:00 P.M., Central European Time, on May 5, 2026.
