Key Business Updates and Legal Matters​

Consolidated Operations:
The Group's operations are segmented under "power generation and allied activities" and derive revenue from a single external customer, with all non-current assets located in India.

Regarding legal matters concerning the Holding Company (RPL), the management reported that an application filed under Section 7 of the IBC Code against RPL by an RPS holder was disposed off in favor of the Holding Company by the National Company Law Tribunal (NCLT) on September 17, 2025. Separately, the management noted that an appeal filed by the same RPS holder against a subsidiary company, Poena Power Development Limited (PPDL), was also dismissed by the NCLT on November 7, 2025. An appeal against this matter before the National Company Law Appellate Tribunal (NCLAT) currently remains pending.

RPS Obligation:
The management noted that RPL issued Redeemable Preference Shares (RPS) in December 2019 aggregating to Rs. 250 crore to lenders who were due for redemption on December 27, 2021. Despite having sufficient cash and cash equivalent balance, the redemption could not be executed due to limitations under Section 55(2) of the Act, which specifies that such redemption must be made from profits available for dividend or through a fresh share issue. The company continues discussions with RPS holders to settle the outstanding obligation, presenting the liability as a current financial liability.

Dispute Settlements:
Regarding disputes involving Bharat Heavy Electrical Limited (BHEL), RPL noted developments in two matters. First, following judgments and orders concerning Change in Law claims and supplementary invoicing raised against MSEDCL, the Supreme Court directed MSEDCL to pay 50% of the outstanding claim amount as an interim order dated February 14, 2022. The civil appeal filed by MSEDCL was dismissed on March 27, 2023, and MSEDCL has since paid Rs. 876.84 crore and is processing the balance payment. Second, concerning a contract dispute related to material supply and services, an interim award of Rs. 115 crores against RPL was passed by the Arbitral Tribunal on July 27, 2017. The subsequent appeal filed by RPL against this interim award before the Division Bench of the High Court of Delhi on April 05, 2025, is pending disposal.

Standalone Operations:
In its standalone operations, the Company also addressed the matter concerning Bank Guarantees (BG) issued under a Letter of Assurance (LOA) with WCL and MCL for a Fuel Supply Agreement (FSA). After receiving letters from WCL and MCL cancelling the LOA and invoking the BG amounting to Rs. 54.96 crore, RPL filed an application of stay before the Delhi HC, which directed WCL and MCL not to take any coercive action. The company believes it has a strong case in this matter.
