Promoters Reclassified as Public Following Open Offer Completion in PH Capital Ltd​

PH Capital Ltd has announced that Mr. Aditya Himmat Bhansali has successfully completed an open offer for its equity shares, leading to the formal re-classification of several existing promoters and promoter groups into the public shareholder category. The transaction involved the acquisition of 7,80,026 fully paid equity shares by Mr. Aditya Himmat Bhansali on June 05, 2026.

The open offer marked a shift in company control, with the sellers—the existing promoters—agreeing to cease their status as Promoters and relinquish management control of PH Capital Ltd in favour of the Acquirer (Mr. Aditya Himmat Bhansali). The intent for this re-classification was first disclosed in a Letter of Offer dated May 08, 2026.

The company confirmed that upon the completion of the open offer, the erstwhile promoters and promoter groups no longer hold any equity shares of PH Capital Ltd.

Confirmation of Post-Transaction Status​

The reclassification process confirmed that the former promoters and promoter groups meet several conditions, confirming their status as non-controlling public shareholders. These confirmations include:

• They do not hold more than ten percent of the total voting rights in the Company.
• They do not exercise direct or indirect control over the affairs of the Company.
• They possess no special rights regarding the Company through any formal or informal arrangements, including shareholder agreements.
• They will not be represented on the Board of Directors or act as Key Managerial Personnel for a period of three years from the date of re-classification.
• They are neither 'wilful defaulter' nor fugitive economic offenders as per relevant guidelines.

Furthermore, PH Capital Ltd confirmed that it is in compliance with the requirement for Minimum Public Shareholding, its equity shares are not suspended from trading by the Stock Exchange, and the Company does not have any outstanding dues payable to SEBI, the Stock Exchange, or the Depositories.
