NIIT Learning Systems Limited plans voluntary dissolution and winding up of MST Shanghai Co. Limited​

NIIT Learning Systems Limited has announced the voluntary dissolution and winding up of MST Shanghai Co. Limited, a step-down wholly owned subsidiary (WoS). The decision regarding the dissolution was made on August 31, 2026.

The voluntary dissolution and winding up of the entity are planned to streamline and simplify the overall corporate structure of the Company.

MST Shanghai Co. Limited had become a step-down wholly owned subsidiary of NIIT Learning Systems Limited subsequent to the acquisition of MST Investment Holding GmbH and its subsidiaries. This acquisition was carried out by NIIT (Ireland) Limited, a wholly owned overseas subsidiary of the Company, on July 9, 2025. Since the acquisition, MST Shanghai Co. Limited has remained an inoperative entity.

The management stated that the proposed dissolution will not result in any change in the shareholding pattern of any other subsidiary or step-down subsidiary of NIIT Learning Systems Limited. Furthermore, the voluntary dissolution is not expected to have any material impact on the operations or financial statements of the Company.

NIITMTS Stock Price Movement​

NIIT Learning Systems Limited's shares slipped by 2.60% on Monday, settling at ₹227.12 after falling ₹6.07 from the previous close. The stock traded within a range of ₹224.8 to ₹234.5, with 66,127 shares recorded in the volume.
